Terms of Service
Olace lets you reach your own AI models from every device you own. Local and paired use is free and unmetered. Some cloud features are paid, through credits and optional subscriptions. You own your conversations, and because they are zero-knowledge encrypted, we cannot read them. Use Olace lawfully. This summary is not part of the agreement; the sections below are.
1. Who we are
Olace is operated by Olace Pritam Chakraborty, a sole proprietorship (jednoosobowa działalność gospodarcza) with its registered address at Witolda Budryka 2, 30-072 Kraków, Poland. In these Terms, "Olace", "we", "us", and "our" refer to that business, and you can reach us at support@olace.app. These Terms of Service (the "Terms") govern your access to and use of the Olace applications, services, and websites (together, the "Service").
By creating an account or using the Service, you agree to these Terms, to our Privacy Policy, and to our Refund Policy, each incorporated here by reference. If you do not agree, please do not use the Service.
2. Eligibility
You must be at least 16 years old to use the Service, and old enough to form a binding contract where you live. If you use Olace on behalf of an organisation, you confirm you are authorised to accept these Terms for it.
3. Your account
You sign in with a one-time code sent to your email, or to your phone if you have added one; Olace does not use passwords. You are responsible for keeping access to your email, phone, and devices, and for activity under your account. Tell us at support@olace.app if you suspect unauthorised use.
Olace protects your synced conversations and backups with zero-knowledge encryption: the key is derived from a recovery key and PIN that only you hold. Signing in proves who you are, but it does not by itself unlock that data. On a new device you unlock it with your recovery key or PIN, or by approving the device from one that is already unlocked. Because the key is yours alone, we cannot recover that data for you if you lose your recovery key and PIN, so please store your recovery key safely.
4. What the Service does
Olace connects the devices you own so you can use AI models that run on your own hardware or on a device you have paired, and keeps your conversations in sync across them. Cloud features, such as cloud models, web search, and image generation, are optional and run on our servers or on providers we use only when you choose them. You can also bring your own provider API key ("BYOK").
The Service depends on software you install and on networks and third parties outside our control. We do not guarantee that any particular model, device, or feature will always be available.
5. Plans, billing, and the seller of record
Olace offers a free tier, recurring subscriptions billed monthly or yearly, and one-time purchases such as a lifetime membership. The plans, prices, included credits, pairing limits, and trial terms that apply to you are the ones shown on our Pricing page and at checkout at the time of your purchase. Those override any figures described elsewhere.
Purchases are sold through a merchant of record, not directly by us:
- On the web and desktop, purchases are sold and processed by Paddle (Paddle.com Market Limited), which acts as the merchant of record. Your purchase is also subject to Paddle's buyer terms.
- In the iOS and Android apps, purchases are sold and processed by the Apple App Store and Google Play under their own terms.
The merchant of record charges you, collects and remits any applicable VAT or sales tax, and issues your receipt. Prices are shown inclusive or exclusive of tax as indicated at checkout. Subscriptions renew automatically for the same period until cancelled, and you authorise the merchant of record to charge the then-current price each period. You can cancel at any time, as described in the Refund Policy. Your plan and entitlements are recognised by your Olace account regardless of where you purchased, so a subscription bought on one platform is available on the others after you sign in.
6. Credits
Cloud features are metered in credits, and you see the credit cost before each action. Local, paired, and BYOK use does not consume credits. Paid plans include a pool of credits that refreshes each billing period; the free tier includes a one-time Starter Pack of credits that expires after a set period shown at the time of grant. Credits are a prepaid allowance to use features of the Service. They are not money, they have no cash value, and they cannot be exchanged, transferred, or redeemed for cash, except where the law requires otherwise. Unused periodic credits do not carry over unless we state so.
7. Acceptable use
You agree to use the Service lawfully, and not to:
- break the law or infringe the rights of others through the Service;
- interfere with, overload, or probe the Service or its security, or get around usage limits, credit metering, or anti-abuse measures;
- resell, sublicense, or commercially exploit the Service or credits without our written permission;
- claim Starter Pack or trial grants more than the eligibility allows, or use automated means to create accounts or farm credits.
You are responsible for the content you submit and for how you use AI output. If you bring your own provider key, you are also responsible for that provider's terms and any charges it bills you directly.
8. AI output
AI models can be wrong, incomplete, or unsuitable for your situation. Output is generated automatically and is not professional advice. You are responsible for reviewing it and deciding how to use it, especially for legal, medical, financial, or safety-critical matters. We do not warrant that output is accurate, reliable, or fit for any purpose.
9. Your content and your rights in it
You keep all rights in the conversations, files, and other content you create or upload ("Your Content"). You grant us only the limited permission needed to operate the Service for you: to store, encrypt, transmit, and sync Your Content across your devices, and, when you use a cloud feature, to process the content that feature needs. We do not sell Your Content and we do not use it to train AI models. Your synced conversations and files are zero-knowledge encrypted, so we hold only ciphertext and cannot read them. How we handle data is described in the Privacy Policy.
10. Our intellectual property
The Olace name, logo, apps, and the Service are owned by us or our licensors and are protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the apps to access the Service under these Terms. Some parts of Olace, including data-handling components, are released as open source under their own licences, which govern those parts. Third-party open-source components remain under their respective licences.
11. Third-party services
The Service works with third parties you choose to use, such as cloud AI providers, app stores, payment processors, and the local AI runtimes on your own machine. We are not responsible for third-party services, and your use of them is governed by their terms. The sub-processors we rely on to run the Service are listed in the Privacy Policy.
12. Availability, changes, and beta features
We are improving Olace continuously and may add, change, or remove features, and may update the apps and protocols they use. The Service is provided on an "as available" basis and may be interrupted for maintenance, updates, or reasons outside our control. Some features may be offered as beta and can be less stable. We will give reasonable notice of material changes that affect you where we can.
13. Suspension and termination
You may stop using the Service and delete your account at any time from the app. We may suspend or limit access if you breach these Terms, use the Service unlawfully, or create risk for the Service or other users, and we will be proportionate and, where appropriate, give notice and a chance to fix the issue. When your account is deleted, we delete your data as described in the Privacy Policy, except a one-way, non-identifying record we keep to prevent trial and grant abuse.
14. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Nothing in these Terms excludes or limits rights you have as a consumer that cannot be excluded or limited by law.
15. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss, loss of data caused by your loss of your recovery key or PIN, or loss arising from third-party services or AI output. Our total liability to you for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty euros. These limits do not apply to liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, you keep all mandatory legal protections, and this section applies only so far as the law allows.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give reasonable notice, for example in the app or by email, before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, you may stop using the Service and cancel.
17. Governing law and disputes
These Terms are governed by the law of Poland. If you are a consumer, you also keep the mandatory consumer protections of the country where you live, and nothing here removes them; this choice of law does not deprive you of those rights. Disputes may be brought before the competent courts, subject to any mandatory rules that let consumers sue, or be sued, in their home courts. If you are not a consumer, the courts of Poland have exclusive jurisdiction over any dispute.
